1. Seller and Scope of Application

These Terms and Conditions apply to all orders placed through www.blackarmorfilms.com.

The seller and contractual partner is:

BLACK ARMOR FILMS operates exclusively as a business-to-business (B2B) online store.

Products are offered and sold only to business customers purchasing goods for their commercial or professional activities. Sales to private consumers (B2C) are excluded.

Placing an order requires an approved business customer account. We reserve the right to verify business information, request supporting documentation and reject applications or orders that do not meet our B2B requirements.

Deliveries are available exclusively to the European Union countries selectable during checkout.

2. Products and Product Information

BLACK ARMOR FILMS offers automotive window films, paint protection films (PPF), installation tools and related accessories.

Products are supplied in the sizes, specifications and packaging units stated in their respective product listings.

Product descriptions and technical specifications available at the time of ordering form part of the relevant product information.

Product images are illustrative. Minor colour differences may occur due to individual screen settings.

Technical specifications, material properties and application recommendations are based on the relevant manufacturer's information.

3. Orders and Contract Formation

The presentation of products in the online store does not constitute a legally binding offer but an invitation to place an order.

Approved business customers may select products, add them to their shopping cart and review or correct their information before completing checkout.

By clicking the final button indicating an obligation to pay, the customer submits a binding order.

An automated order confirmation acknowledges receipt of the order but does not necessarily constitute acceptance.

The purchase contract is concluded when the seller expressly accepts the order or, at the latest, when the goods are dispatched, unless mandatory applicable law provides otherwise.

If an ordered product is unavailable, the customer will be informed and any payment already received for the unavailable product will be refunded.

4. Prices and Taxes

All product prices are displayed in euros (EUR).

Unless expressly stated otherwise, product prices are exclusive of Swiss value-added tax (VAT), EU import VAT, customs duties and customs clearance charges.

Products are dispatched from Switzerland to the European Union.

Import VAT, applicable customs duties and customs clearance or handling fees may be payable in addition to the product price and shipping costs.

Unless expressly agreed otherwise, these import charges are borne by the business customer under the agreed DAP delivery terms.

Import charges are generally not collected during checkout and may be invoiced separately by the postal operator, customs authorities or another authorised service provider.

The actual charges depend on the destination country, product classification, customs value and applicable regulations.

Where a different customs procedure applies, the relevant conditions will be communicated in accordance with applicable legal requirements.

5. Payment Terms

Available payment methods are displayed during checkout.

Payments are processed through the payment service providers offered in the online store.

Unless expressly agreed otherwise, payment is due when the order is placed.

Orders are processed in accordance with the selected payment method and confirmation of payment.

6. Shipping and Delivery

Orders are dispatched from Switzerland to the European Union countries available during checkout.

Shipping is currently carried out primarily through Swiss Post – PostPac International.

wraphics Werbetechnik reserves the right to use another suitable shipping provider where necessary.

Shipping costs are calculated during checkout and displayed before the order is submitted.

Delivery times depend on product availability, destination country, shipping provider and customs clearance procedures.

Any stated delivery times are estimates unless expressly agreed as binding.

Applicable mandatory statutory obligations remain unaffected.

7. Customs Clearance and Import Charges

Unless expressly agreed otherwise, deliveries are arranged under DAP (Delivered at Place – Incoterms® 2020) to the agreed delivery address.

Under DAP, the seller arranges transportation to the agreed destination, while the business customer is generally responsible for import customs clearance and applicable import charges.

These charges may include:

Import VAT in the destination country
Applicable customs duties
Customs clearance and handling fees
Other legally applicable import-related charges

The customer must provide accurate company, delivery and import information, including an EORI number where required.

Import charges may be collected separately by the postal operator, customs authorities or another authorised service provider.

Special customs procedures may apply to certain destinations, shipments or customer categories. Where applicable, the relevant legal requirements and agreed conditions take precedence.

8. Delivery and Transfer of Risk

Goods are delivered to the address provided by the business customer during checkout.

Where DAP delivery terms have been validly agreed, the risk of accidental loss of or damage to the goods passes to the customer when the goods are placed at the customer's disposal at the agreed destination, ready for unloading, in accordance with Incoterms® 2020.

Any different mandatory legal provisions or individually agreed delivery terms remain unaffected.

9. Cancellations and Returns

BLACK ARMOR FILMS supplies goods exclusively to business customers.

Business customers do not benefit from the statutory consumer right of withdrawal.

Orders cannot be cancelled after contractual acceptance without the seller's agreement.

Returns of correctly delivered and non-defective goods are accepted only with our prior express approval.

Any agreed return conditions, including applicable return shipping costs, will be communicated individually.

Statutory and contractual rights relating to defective, damaged or incorrectly delivered goods remain unaffected.

10. Return Address

Where a return has been authorised, goods must be sent to:

Returned goods must be suitably packaged for international transportation.

For returns from the European Union to Switzerland, customers must provide accurate customs documentation and clearly identify the shipment as returned goods.

Customers should contact us before returning any products to obtain the necessary instructions.

11. Transport Damage and Inspection of Goods

Business customers must inspect delivered goods for visible transport damage, completeness and apparent defects within a reasonable period after receipt, in accordance with applicable law.

Visible damage should be documented and reported promptly, quoting the relevant order number and providing photographs where available.

Applicable statutory inspection and notification obligations remain unaffected.

12. Statutory Warranty and Defective Goods

Rights relating to defective or non-conforming goods are governed by the applicable statutory provisions and any validly agreed contractual terms.

Customers must comply with applicable inspection and notification requirements.

Where a defect is established, the available remedies are determined by applicable law and the relevant contractual agreements.

Nothing in these Terms and Conditions excludes liability or remedies that cannot legally be excluded.

13. Voluntary Product and Manufacturer Warranties

Certain BLACK ARMOR FILMS products may be covered by additional voluntary product or manufacturer warranties.

The availability, duration, scope, conditions and exclusions of any such warranty are specified in the relevant product information and warranty terms.

Voluntary warranties are separate from statutory rights and do not replace any mandatory legal remedies.

14. Professional Installation and Product Application

Certain film products are intended for professional installation by appropriately qualified users.

Business customers must observe the applicable product information, technical data sheets and installation instructions before using or installing the products.

Customers are responsible for assessing product suitability for their intended professional application in accordance with the manufacturer's specifications.

To the extent permitted by applicable law, the seller is not liable for damage caused exclusively by improper installation, unsuitable application or demonstrable failure to follow the relevant instructions.

Statutory rights relating to defects existing at the time of delivery remain unaffected.

15. Liability

wraphics Werbetechnik is liable in accordance with applicable statutory provisions.

Any exclusion or limitation of liability applies only to the extent permitted by law.

In particular, liability for intentional misconduct, gross negligence, personal injury and mandatory product liability claims is not excluded to the extent such exclusion is prohibited by applicable law.

16. Retention of Title

To the extent permitted by applicable law and where validly agreed, goods remain the property of wraphics Werbetechnik until payment has been received in full.

17. Data Protection

Personal data is processed in accordance with applicable data protection laws.

18. Governing Law and Jurisdiction

All contractual relationships with wraphics Werbetechnik are governed by Swiss law, to the extent such a choice of law is legally permitted.

For disputes involving business customers, the courts having jurisdiction at the registered place of business of wraphics Werbetechnik in the Canton of Aargau, Switzerland, shall have exclusive jurisdiction to the extent permitted by applicable law.

Mandatory statutory provisions concerning applicable law and jurisdiction remain unaffected.

19. Final Provisions

If any provision of these Terms and Conditions is found to be wholly or partially invalid or unenforceable, the remaining provisions shall remain effective to the extent permitted by applicable law.

Any individually agreed contractual terms take precedence over these Terms and Conditions where applicable.

The Terms and Conditions validly incorporated into the contract at the time of purchase shall apply.
